What is a Resolution?

A resolution is a motion that has been approved or passed by the board of directors during a planned board meeting.

How to Write a Resolution

Follow these steps to write a resolution:

Include a date, time, and if applicable, a resolution number at the top of the page
Document all sub-topics of the resolution
List the names of board members voting on the resolution
Require the board president to sign and date the resolution

Types of Board Resolutions

There are three primary types of board resolutions, including ordinary resolution, unanimous resolution, and special resolution.
