How a Mission-Driven Board Governs Responsibly in the Age of AI, and What Any Board Can Apply

Among large public companies, disclosures naming AI risk as part of board oversight have nearly tripled over the last couple of years. Oversight of AI has moved off the IT agenda and onto the board agenda, and regulators now ask how that oversight is conducted and which committee owns it. Governance is being rewritten at speed, and every board is now accountable for a technology its own directors already brought into the room.

The 2026 OnBoard Board Effectiveness Survey found that 92% of directors used AI for board work in the past six months. 63% of boards have nothing formal in place to govern it. The 6% that have written an enforced policy rate their own effectiveness 32 points higher than the boards with nothing.

For this ATLAS Leadership session we’re taking you inside the Damien Center in Indianapolis to ask how a board governs responsibly once AI is already in the room. Their President and CEO, board liaison, compliance lead, and two board members answer on camera, filmed on site. Larry Tyler, Vernetta Walker, AJ Crabill, and Donna Hamlin of OnBoard’s Governance Advisory Council will join the conversation remotely and turn each answer into practical advice any board can apply, in any sector.

The Damien Center is Indiana’s oldest HIV and AIDS nonprofit, and it served 13,700 people last year under HIPAA. Governing it falls to twenty-five directors spread across eight committees, who meet 10 to 12 times in a typical month while federal, state, county, and funder requirements all land on the same table.
